Recording Acknowledgment and Consent 

I hereby acknowledge that this meeting, masterclass, training, workshop, interview, podcast, retreat, or other event (collectively, “Program”) is being recorded. My participation in referenced Program constitutes my consent to being recorded.

Through my continued participation, I hereby irrevocably grant to Ellie Shefi, Made to Change the World, Inc., and Made 2 Change the World Foundation, and their successors and assigns (collectively, “Producer”), the right to record my name, voice, and all information and material contributed or expressed by me, in all audio, visual, and written forms (collectively, “Recordings”); to edit such Recordings at their discretion; and to incorporate the same into the Program, to use or authorize the use of my name and the Recordings (or any written, audio, or visual portion thereof) in connection with the Program, and all advertising, marketing and promotion therefor, and to distribute and otherwise use the foregoing in any and all media in perpetuity. 

I understand that Producer has the right to consult with me regarding the accuracy of factual claims in the Recordings, it being understood and agreed that Producer shall at all times retain sole and final approval over all elements of the Program and the use of Recordings therein. 

Producer shall be the exclusive owner of all copyright and all other rights in and to Program and the Recordings, and all excerpts therefrom, and Producer will have the exclusive and unrestricted right, but not obligation, to use and authorize others to use the Recordings (and any element thereof). I also understand and agree that this agreement is made on a non-union basis and there will be no residual or other type of payments due to me. 

To the best of my knowledge in the exercise of reasonable diligence, the Recordings do not and will not defame, infringe or violate the rights of privacy or any other rights of any third party and are not the subject of any actual or threatened litigation or claim. I hereby agree to defend, indemnify, and hold harmless Producer, its distributors, assignees, licensees and affiliates from any and all claims, demands, and costs arising from Producer’s use of the Recordings and the use of ideas or statements expressed by me in the Program or acts done by me in connection therewith. 

I hereby fully release and forever discharge Producer, its distributors, assignees, licensees and affiliates from and against any and all claims, demands and liabilities of any kind that I may have, or that any of my heirs, executors, administrators and assigns hereafter may have, in connection with the Recordings, my participation in the Program, Producer’s negligence in connection with the Program including without limitation Producer’s failure to properly vet any other participants in the Program, or the use of my name, voice, likeness, image, biographical information about me or statements by me, including without limitation, claims based upon invasion of privacy, defamation, violation of the right of publicity, personal injury, property damage or loss or death. 

In the event of any action or claim related to the Recordings or this agreement, I agree not to seek injunctive relief against Producer (and/or Producer’s assignee(s) or distributors), and I agree my relief in such circumstances shall be limited to monetary damages. In no event shall I be permitted to prevent or inhibit the exhibition, distribution, broadcast or other use of the Program. Producer may transfer and assign this agreement or all or any its rights or privileges hereunder to any entity or individual without restriction. This agreement shall be binding on all of my successors-in-interest and heirs. This agreement expresses the entire understanding between Producer and me with respect to the subject matter hereof. This agreement shall be governed and interpreted in accordance with the laws of the State of Tennessee. Any action relating to a dispute between the parties under this agreement shall be brought solely in the state or federal courts located in the State of Tennessee. 

I hereby acknowledge that I have read and understood this agreement and, by my participation, consent to the terms contained herein. My acceptance of these terms and conditions and my participation constitute my electronic signature of this agreement and the date of my participation in the Program constitutes its effective date.
